The US listed company Flora Growth (NASDAQ: FLGC) announced on September 19, 2025 that it has completed private placement financing totaling US$401 million and will use the native cryptocurrency $0G of the decentralized AI infrastructure project 0G as the company's main reserve asset. The private placement was led by DeFi Development Corp. (DFDV), with participation from Hexstone Capital, Carlsberg SE Asia PTE Ltd (CSAPL) and a number of institutions. The cash and equivalent digital assets were US$36.6 million and US$350 million respectively.

According to the official announcement, Flora Growth is expected to change its name to ZeroStack and retain the "FLGC" stock code after the transaction is completed. The company will appoint 0G co-founder Michael Heinrich as executive chairman and Daniel Reis-Faria as CEO to further strengthen cooperation with the 0G ecosystem.

0G: Infrastructure for decentralized AI training and storage

0G is a blockchain project focusing on decentralized AI training and storage. It emphasizes infinite scalability and has successfully trained an AI model with 107 billion parameters under a low-bandwidth network. It is said that the performance is 357 times higher than that of Google DiLoCo research. 0G is also the first Web3 AI company to vertically integrate the storage, computing and training markets, and uses $0G as ecosystem fuel.

This private placement transaction adopts the PIPE (Private Investment in Public Equity) model. Investors can choose to subscribe for the company's shares with $0G tokens or cash. Some investors will receive pre-subscription warrants, which can be exercised after the shareholders' meeting approves. The company will also hold some Solana (SOL) tokens to deepen its cooperation with the Solana ecosystem.

AI treasury strategy: a new look for corporate asset allocation

Flora Growth’s new CEO Daniel Reis-Faria said:

This treasury strategy allows institutional investors to participate in the growth of AI infrastructure on an equity basis and takes into account the development of transparent, verifiable, large-scale, low-cost and privacy-first AI.

This transaction is expected to be completed on September 26, 2025, and the funds will be used to further acquire $0G tokens and strengthen the company’s layout in the field of decentralized AI infrastructure.

Flora Growth currently also operates a global pharmaceutical distribution business through its wholly-owned subsidiary Phatebo GmbH. This private placement is limited to qualified investors and is subject to relevant regulations under U.S. securities laws.
